TERMS AND CONDITIONS

PLEASE READ THIS TERMS AND CONDITIONS AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES. BY SIGNING THE PUPPETEER LOUNGE TRAINING WORKSHOP AGREEMENT, YOU AGREE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO THESE TERMS AND CONDITIONS OF USE. YOU ALSO AGREE TO REVIEW THIS AGREEMENT PERIODICALLY IN ORDER TO BE AWARE OF MODIFICATIONS TO THE AGREEMENT, WHICH MODIFICATIONS PUPPETEER LOUNGE MAY MAKE FROM TIME-TO-TIME AND AT ANY TIME.

1. AGREEMENT: This Terms of Service Agreement (“Agreement”) is entered into by and between Puppeteer Lounge and you, and is made effective as of the date you sign this Agreement below or the date of electronic acceptance. This Agreement sets forth the general terms and conditions of Puppeteer Lounge Training Workshop program. The terms “we”, “us” or “our” shall refer to Puppeteer Lounge and the terms “you” or “your” shall refer to any individual or entity who accepts this agreement. Nothing in this agreement shall be deemed to confer any third-party rights or benefits. 

2. WHAT WE PROVIDE:  Puppeteer Lounge provides a training workshop in either an online or offline program. You will be provided with models, rigging and animation material which is the sole property of Puppeteer Lounge. These materials are provided to you for educational purpose only. You will be provided with recorded videos of each class session of Puppeteer Lounge Training Workshop for your personal use and future reference only. 

3. REGISTRATION FEE: There is a non-refundable registration fee of $15. You will need to pay to complete the registration process and enroll for Puppeteer Lounge Training Workshop.

3. PAYMENT: You can purchase any training workshop by paying the full amount or installments. NO REFUNDS, CANCELLATIONS, POSTPONEMENTS OR WITHDRAWALS ARE ALLOWED AFTER THE PAYMENT HAS BEEN MADE. In the event that your transaction is processed in any currency other than U.S. Dollars, you may be charged additional rate conversion fees. Prices are subject to change without any prior notice! 

4. COPYRIGHT: PUPPETEER LOUNGE owns the copyright to all materials that are available to you. Reproduction, dissemination, and/or use of such materials are a violation of International Copyright laws and subject to penalties, attorney’s fees and damages.  

5. PROHIBITED CONDUCT: You expressly agree to refrain from doing, either personally or through an agent, any of the following:

a.	Copy, transfer, upload, modify, redistribute, publish, alter, transfer or adapt any of the materials, videos, information, text, graphics, characters, tools, sample files, assignments and uploads, or other training workshop content available to you.
b.	Remove or modify any copyright, trademark, legal notices, or other proprietary notations from the training workshop content available to you.
c.	Transfer the training workshop content to another person.
d.	Engage in any other conduct which violates the Copyright Act. 

6. TERMINATION OF AGREEMENT: In addition to Puppeteer Lounge’s other rights; it may terminate this Agreement at any time and at its discretion. Puppeteer Lounge may also terminate Access to Puppeteer Lounge Training Workshop and Webinar program or cancel registration without notice if it believes, in its sole judgment, that You have breached or may breach any term or condition of this Agreement, engaged in conduct that Puppeteer Lounge deems inappropriate, for its convenience or for any other reason.

7. GOVERNING LAW AND DISPUTE RESOLUTION: The enforceability of these Terms and Conditions shall be governed by the laws of Kathmandu, Nepal and any disputes shall be resolved by Nepal Council of Arbitration. The prevailing party shall be awarded costs and attorney’s fees associated with the enforceability of these Terms and Conditions.
